摘 要

财务风险与控制的研究成为新世纪上市公司所必须面对的问题。目前，我国处于市场经济时代，财务风险贯穿企业的各个环节，对于一般企业的财务风险已经有了一定的研究成果，但针对我国生物制药上市公司的财务风险与控制这一领域还有待研究。尤其是近年来我国生物制药上市公司快速增长并不断发展，而面临各种复杂不定的风险，财务风险尤为突出，若不对其进行有效分析与控制，很有可能引发财务危机甚至造成公司破产。因此，根据我国生物制药上市公司的财务现状进而分析企业可能存在的财务风险，总结出风险类型与成因，对控制我国生物制药上市公司的财务风险十分重要。

本文采用理论知识与实证分析相结合的方法，选取了五家财务状况具有代表性的生物制药上市公司来例证。通过搜集这五家生物制药上市公司的近三年财报，利用计算整合后的数据，筛选了企业的资产负债、偿债能力、销售能力、盈利质量、现金流量、财务结构等指标，对我国的生物制药上市公司进行财务风险分析并对其不同种类的财务风险进行研究，找出影响因素，得出与之相对应的控制方法。在一般企业的财务风险研究成果的基础上浅析我国生物制药上市公司的财务风险与控制，这对我国生物制药上市公司的财务风险问题的解决有着重要意义。

Analysis on the Financial Risks and Controls in Listed Companies of Biopharmaceutical in China

Abstract

Studies on Financial Risk and Control Issues is to become a problem which companies in the new century must face.At present,our country is in the era of market economy where financial risk runs through all aspects of the enterprises.There has already had some general research for the the financial risk of enterprises,however,our biopharmaceutical listed companies" financial risks and controls remain to be studied.Especially in recent years, Chinese bio-pharmaceutical listed companys have been on the rapid growth and constant development.While facing a variety of complex and uncertain risk, especially financial risk, it is likely to lead to a financial crisis even bankruptcy if we don’t analysis and control effectively.Thus, according to the financial situation of our biopharmaceutical listed companies to analyse financial risk which may exist, as well as summing up the the reasons and causes of the risks,it will be of much great importance to the control of listed biopharmaceutical company"s financial risk .

In this paper,the method is to combine the theoretical konwledge with empirical analysis,we can illustrate them by selecting five representative biopharmaceutical listed companys in financial situation.According to the data of the five listed biopharmaceutical companys" nearly three years earnings,thus using consolidated data,we can easily filter the company"s assets and liabilities, solvency and sales capabilities, quality of earnings, cash flow, financial structure and other indicators,which help us analyse the financial risk and study the different types of financial risks, as well as identify factors, finally draw conclusions of the corresponding control methods.Studying the financial risks and control on the basis of research results of the general companys,which has the great significance in solving the problems of the financial risks.

第一章 绪 论

1.1 研究背景

曾经的金融危机给世界的经济发展都带来了很大的影响，这种影响是全球性的经济影响，且影响效果持久。纵观外部与内部经济环境，企业的财务风险可小可大，但若是纵容而不加以分析与控制则会造成不可挽救的结局，即面临倒闭或破产。例如曾经全美最耀眼的生物技术上市公司Dendreon 宣布破产，其原因就是没有好好处理公司的财务风险，2016 年高达 6.2 亿美元的债务已经无力偿还，只能采取将公司破产拍卖的方式来偿还债务。

而作为跻身世界发展中大国的中国，所受到的冲击也不容小觑，上市公司的经营风险也随之增加。融资的困难、信贷的风险、市场的不稳定都显而易见。例如2012至2013年，中国铁路物资有限公司因钢贸商及民营钢铁企业资金链断裂导致存货灭失、应收账款逾期，涉及资产规模达149.56亿之广；2014年山煤国际能源集团股份有限公司因德诚矿业及相关企业无法正常供货或支付货款导致预付及应收款无法收回，其涉及资产规模达20亿；2015年11月华北制药股份有限公司已下达了关于对天星公司实施破产清算的专项公告，原因是天星公司的负债比率太高，亏损年年增加；而近日据有关媒体报道，中国中钢集团公司因银行贷款逾期且债务重组进度迟缓而陷入财务困境。这些案例都充分暴露了企业的财务风险对于上市公司经营的重要性。
