摘 要

作为公司财务管理的重要内容之一，股利政策对公司的投资、筹资活动有着深远的影响。上市公司把对股利政策的选择从单一的财务决策问题上升为公司治理问题。由于我国的特殊的国情和市场环境，上市公司存在特殊的公司治理结构和企业制度，这就使得对我国上市公司股利政策及其影响因素的研究更有意义。

上市公司股利政策的选择受很多因素的影响，不同因素有着不同的影响程度。要想给公司树立良好的形象，鼓励投资者投资，股利政策的选择至关重要。通过分析我国上市公司股利政策的现状、成因及存在的问题，可以总结出一些经验教训，为上司公司股利政策的选择提供参考性意见。

Abstract

As one of the important contents of the financial management of the company, has a profound impact on investment and financing activities for the company"s dividend policy. The listing Corporation of the dividend policy choice rose from single financial decision-making for corporate governance. Because of our special national conditions and market environment, there is a special corporate governance structure and corporate system of listing Corporation, which makes the research more significance of China"s listing Corporation dividend policy and its influencing factors.

Listing Corporation dividend policy choice is influenced by many factors, different factors have different degree of influence. In order to establish a good image for the company, investors are encouraged to invest, is essential to choose the dividend policy. Through the analysis of the status quo and causes of China"s listing Corporation dividend policy and the existing problems, we can sum up some experiences and lessons, provides reference for the selection of listed company dividend policy.

第一章 绪 论

1.1 选题的背景及意义

股利政策作为当代财务管理内容之一,一直是国内外学者研究的重点。西方国家有关股利政策的研究层见叠出，但至今都没有得到统一的结论。要想鼓励投资者投资，股利政策的选择至关重要。研究发现国家的法律法规、公司的股权结构、投资者的投资观念、公司的财务指标包括盈利能力、偿债能力、现金流水平、股票价格等是股利政策的影响因素。股利政策的选择是公司的重要决策，不单单能够反映公司的经营业绩，还对公司形象、股东利益有着重大影响，进而关系着公司长期的生存和发展。

1.2 研究思路及框架结构

首先对股利政策的理论进行论述，再归纳出上市公司股利政策的现状及影响上市公司股利政策的具体因素，最后结合定量分析与定性分析的方法，以安徽楚江科技新材料股份有限公司选择的股利政策为例，分析影响安徽精诚铜业股份有限公司股利政策的因素，得到启示。
