摘 要

近年来，生物制药行业作为一个新兴行业，被公认为是21世纪最有发展潜力的行业之一。但在我国现行的经济体制下，虽然国家大力扶持，但生物制药上市公司仍然面临着许多的困难，同时国内外学者人针对这一行业的研究甚少，尤其是对财务治理结构的研究。

因此本文就生物制药上市公司的财务治理结构进行了深入的研究。首先，介绍了国内外学者关于财务治理结构理论的研究成果；其次，具体从资本结构、股权结构两个方面探讨生物制药上市公司财务治理结构的现状；最后在借鉴英美、德日、韩三种典型财务治理结构的基础上对生物制药上市公司存在问题加以分析，并提出自己的建议。

通过研究发现我国生物制药上市公司存在资产负债率偏低、融资困难从而导致负债结构不合理、中小股东和债权人难以取得财务治理权等问题，并给出建议：提高债务融资比例、合理组合筹资方式、提高自身盈利能力、增加其他股东持股比例，加大债权人对上市公司的财务控制权等。

Research on The Financial Governance Structure of Biological Pharmaceutical Listing Corporation

Abstract

In recent years,biological pharmaceutical industry as an emerging industry,has been recognized as one of the most development potential industry in the 21st century.But under the current economic system in our country,although the state vigorously support,but bio-pharmaceutical listed companies still face many difficulties,at the same time, domestic and foreign scholars who study the industry,especially the study of financial governance structure.

So in this paper,the biological pharmaceutical listed companies" financial governance structure carried on the thorough research.First,this paper introduces the research achievements of domestic and foreign scholars about the financial governance structure theory;Second, the concrete from two aspects of capital structure,ownership structure this paper discusses the current situation of biopharmaceutical financial governance structure of listed companies;Finally, in reference to Britain and the United States and Germany,Japan and South Korea three typical financial governance structure of biological pharmaceutical listed companies on the basis of the existing problems of analysis,and put forward their own suggestions.

Through the study found that Chinese bio-pharmaceutical listed companies exist the asset-liability ratio is low,financing difficulties,resulting in unreasonable debt structure,middle and small shareholders and creditors rights problems such as difficult to obtain financial management,and gives advice:raise the proportion of debt financing,the reasonly combination of financing way,improve their profitability,increase other shareholder stake,enlarging the creditors of the listed company"s financial control,etc.
