摘 要

PPP作为一种当下热门的项目融资模式，能够缓解政府财政紧张、满足公共服务需求和提高投融资效率。但在我国PPP项目实施过程中，出现了许多项目操作不规范甚至失败的案例。通过了解PPP模式的内涵、PPP项目的特征和生命周期，论文首先对PPP项目进行了分类分析，发现我国的PPP项目发展现状存在对PPP认知错误、项目融资难、政府监管不到位、相关法律制度存在漏洞等问题引起的利益相关者反对。然后，经过了解PPP项目中利益相关者的定义与特征，论文对利益相关者进行了三个等级的分类。结合项目评估的各项指标，深度剖析了各类利益相关者在PPP项目各个阶段的需求与目标，并识别出其核心需求，发现各利益相关者方之间存在牵制关系。解决利益相关者之间的利益冲突的关键即是平衡这种牵制关系。因此，结合项目融资框架的构成要素，从各利益相关者的核心需求中识别出了44个PPP项目融资方案中的要点。经过要点评级，筛选出了24个关键融资方案要点，最终以实现PPP项目的利益相关者利益最大为目标，针对这些要点提出项目融资建议，形成了一份PPP项目融资方案要点检查表，作为实际参考手册。

基于利益相关者满意的融资检查表为PPP项目融资方案的设计提供了一种实用的工具，从利益相关者的角度考虑项目的权责分配、利益共享和风险分担，解决了我国PPP项目在融资方案设计过程中考虑不周全的问题，有利于对PPP项目的实际应用进行规范和创新，有助于改善我国PPP项目良莠不齐的发展现状，促进PPP项目在经济新常态下的健康良性发展。

Abstract

As a popular project financing model, PPP can relieve government financial tensions, meet public service demands, and increase investment and financing efficiency. However, in the process of implementing PPP projects in China, there have been many cases where project operations were not standardized or even failed. Through understanding the connotation of the PPP model, characteristics and life cycle of the PPP project, the paper first classifies the PPP project and finds that the status quo of China's PPP project has misunderstanding of PPP, difficulty in project financing, inadequate government supervision, and relevant laws. Stakeholders are opposed to issues such as loopholes in the system. Then, after understanding the definition and characteristics of the stakeholders in the PPP project, the paper classified the stakeholders by three levels. Combining various indicators of project evaluation, we deeply analyzed the needs and objectives of various stakeholders in each phase of the PPP project, and identified their core needs. We found that there were tie-downs among the various stakeholders. The key to resolving conflicts of interest among stakeholders is to balance this containment relationship. Therefore, combining the constituent elements of the project financing framework, the key points in the 44 PPP project financing programs were identified from the core needs of various stakeholders. After the point rating, 24 key financing options were selected. Finally, the goal of maximizing the interests of the stakeholders in the PPP project was targeted. The project financing proposal was proposed based on these points, and a checklist of the PPP project financing plan was formed as a reality. Reference book.

The financing checklist based on stakeholder satisfaction provides a practical tool for the design of PPP project financing plan. It considers the distribution of rights and responsibilities, benefit sharing and risk sharing of the project from the perspective of stakeholders and solves the problems in the financing of PPP projects in China. The incomplete consideration of the project design process is conducive to standardizing and innovating the practical application of the PPP project, which will help to improve the development status of the PPP project in China and promote the sound and healthy development of the PPP project under the new economic normal conditions.

第一章 绪论

1.1 选题背景

PPP或PPP模式的英文原意是Public-Private-Partnership，其定义在世界上尚未形成统一的解释，故翻译名称多样，广泛传播并被大众接受的意译是“公私伙伴关系”。本文将其定义为一种政府部门与私营企业合作的项目融资模式。由于综合了政府部门的财政优势和私营企业的管理技术，PPP使得融资更加容易，项目建设效率大大提升，给公私双方都带来了仅靠一方很难实现的利益。随着我国进入经济新常态，PPP已经成为缓和财政紧张和提高政府行政效率的重要举措。但自2013年正式在全国推广起，PPP模式在国内的发展状况始终不佳。由于对PPP的错误认知、忽略项目利益相关者的利益和缺乏完善的法规、政策等原因，部分伪PPP模式在公共项目中滥竽充数，导致项目反对、拖延甚至失败，并在一定程度上出现了“劣币驱除良币”的情况。

在众多导致PPP项目失败的原因中，与利益相关者关联的问题占了很大部分比例，这是因为“PPP项目作为多方利益的综合体，交汇渗透了各方利益要求，这些利益要求由于各自的独立性，必然存在各种利益的矛盾和冲突。”[^[1]]
