高管特征、董事会结构与研发行为--以新三板公司为例

摘 要

新三板公司现今正在快速发展中,新三板除了是为企业提供股份交易和融资平台的交易市场,还将成为挂牌资源的“蓄水池”,本文是基于我国新三板挂牌公司信息技术业与制造业一百三十多家的企业数据为样本,引入高管特征与董事会结构为自变量,使用OLS回归模型等计量经济学工具实证研究当企业将所处行业、企业规模以及成立年限作为控制变量的前提之下,其高管特征、董事会结构与研发创新行为之间的逻辑关系以及对企业经营绩效的影响。

本文将高管年龄、受教育水平、性别、职业经验以及政治背景这五个维度作为高管特征的前因变量,董事会规模、独董比例以及是否两职合一作为董事会结构的前因变量,研究分析其对于研发创新投入的影响。回归分析结果表明:(1)高管团队成员内部的企业经营管理人员技术职业背景与研发创新投入绩效呈显著正相关;高管团队成员的年龄对研发创新投入之间呈显著负相关,而高管团队的受教育水平对研发创新投入之间呈显著正相关;(2)董事会成员人数规模与研发创新投入呈显著正相关;董事会独董比例与研发创新投入之间不存在显著的相关关系,而两职分离的董事会结构对研发创新投入之间呈显著正相关。本文对最终的实证分析结果进行了根本原因的研究探讨,并对如何提高企业经营业绩提出了战略方向展望。

A RESEARCH ON EXECUTIVE CHARACTERISTICS

BOARD STRUCTURE AND PERFORMANCE OF

THE ENTERPRISES

—BASED ON THE NEW THIRD BOARD MARKET

ABSTRACT

Now new three board company is developing rapidly, it not only provides the enterprises with the market for trading of shares and financing platform ,but also will be the public resources “reservoir”. This article is based on more than one hundred and thirty enterprise data in the information technological and manufacturing industries in our China new three board listed companies, and introduces the executive characteristics and the board structure as the independent variables ,using OLS regression model and other econometric tools to carry out the empirical research under the control variables that are the business sector ,the company size and their establish year ,about the logical relationship between the executive characteristics ,the board structure and the behavior of the research and the innovation and the influence to the performance of businesses.

This article uses their ages ,their educational level ,their sex ,their career experience and their political experience as the independent variables of the executive characteristics, the size of the board ,the independent director ratio and the chairman of the board and the CEO is the same person as the independent variables of the board structure. The regression analysis results show that:(1)The professional backgrounds of the enterprise management personnel is significantly positively related with investment performance of the research and innovation and The age of the executive team members has a counter-regulatory impact on the performance of research and innovation ,but the education level of the executive team members has a positive-regulatory impact.(2)The board structure is a significantly positive correlation;the size of the independent director proportion of the board doesn’t have a counter-regulatory impact on the performance of research and innovation, but the chairman of the board and the CEO is not the same person has a positive-regulatory impact. This article investigates and studies the final results of the empirical analysis results and proposes the strategic direction prospects about how to effectively improve the performance of the enterprises.
