摘 要

自2001年独立董事制度在我国开始实施，学者们对此展开了激烈的探讨。我国对于独立董事的独立性、自身特征等的研究已经较为成熟，然而独立董事的行业经验却少有学者研究。

本文结合国外最新研究，立足于当今中国的市场环境，对独立董事制度提出新的思考：独立董事的行业经验对企业价值的影响。本文选取的研究对象是2013-2017年的部分上市公司，采用面板固定效应回归的方法，探究独立董事的行业经验与企业价值之间的关系。首先以委托代理理论、资源依赖理论、信号传递理论、声誉机制理论等为基础，说明拥有行业经验的独立董事在董事会的比重越大的情况下，其企业价值也会相应提升。然后在实证分析过程中进行了描述性统计、多重共线性分析以及面板固定效应回归分析，并做了稳健性检验，探究我国上市公司独立董事行业经验对企业价值的影响。

基于上述分析得出以下结论：拥有行业经验的独立董事占比与企业价值正相关。因此，对我国上市公司提出建议：积极聘用独立董事并且要理性聘用具有行业经验的独立董事，同时建立起完善的独立董事制度聘用体系。

Abstract

Since the implementation of the independent director system in China in 2001, the practice and theoretical circles have been conducting research on the independent director system. The study on the characteristics of independent directors in our country has been relatively perfect. However, the industry experience of independent directors has been rarely studied by scholars.

Based on the latest research in foreign countries, this paper puts forward new thinking on the independent director system based on the current market environment in China: the impact of independent directors' industry experience on corporate value. Using fixed-effect and panel regression methods, the relationship between industry experience and corporate value of independent directors is explored. Firstly, based on theory, the corresponding corporate value will be enhanced when the proportion of independent directors with industry experience is greater.Then, in the process of empirical analysis, descriptive statistics, multi-collinearity analysis and regression analysis were carried out to explore the impact of the independent director industry experience of listed companies on corporate value.

Based on the above analysis, the conclusions are drawn: the proportion of independent directors with industry experience is positively correlated with the value of the company. Therefore, it puts forward suggestions for listed companies in China: actively promote the independent director system within the enterprise, and at the same time establish a perfect system for hiring independent directors.

研究背景和意义

2001年8月16日，中国证监会颁布的《关于在上市公司建立独立董事制度的指导意见》，是中国首次出台的对上市公司聘任独立董事的强制性规定。从此，我国的上市公司开始引入独立董事制度，并且理论界和实务界一直在进行有关独立董事制度的探讨和研究。

独立董事与执行董事不同，通常不直接参与公司的日常活动，所以独立董事更具有独立性和客观性，能在一定程度上更好地约束管理层的行为，有助于公司的利益。而且大多数独立董事由于自身所拥有的专业知识和实践经验，能够为上市公司的发展提出建议，并且能够及时发现企业存在的风险或者管理漏洞，最大程度的保障投资者的利益。然而事实真的是这样吗？2016年，万科公司的独立董事华生先生就曾对万科董事会的决议机制和流程进行披露，华润集团更是痛斥万科董事会的决议。这一事件引起了社会的广泛讨论。

然而，近年来越来越多的独立董事不再只是摆设，开始真正参与到公司的决策中，履行他们的职责。于是，对于独立董事的研究和相关话题从“独立性”开始转向“专业性”。一些案例也表明，独立董事正因为他所拥有的社会资本和行业经验等，越来越被上市公司所看重。例如，2015年4月，苏芒和任泉被聘请为聚美优品的董事。苏芒是时尚集团总裁，旗下有十多本时尚杂志，而任泉不仅是明星同时还是风险投资公司创始人，这一消息将稳固聚美优品时尚潮流电商的定位，加强聚美优品在年轻人中的影响力和知名度。
